Tri Origin Exploration Announces Results of Shareholders’ Meeting

Aurora, Ontario, April 15, 2021 Tri Origin Exploration Ltd. (TSX-V: TOE) (“Tri Origin” or the “Company”) is pleased to announce the results of its April 12, 2021 Special Meeting of Shareholders.

Name Change

The Company’s shareholders have approved changing the Company’s corporate name to NewOrigin Gold Corp. ("NewOrigin”). The name change reflects the Company's recent corporate initiatives and appointments to management and the board of directors. These recent initiatives are intended to enhance the Company’s ability to attract sustainable financial support for development of its exciting, top-tier, exploration property portfolio in the Canadian Shield of Ontario. NewOrigin is proud to continue as a leading and long-standing gold exploration company in Canada.

Tri Origin is awaiting regulatory approval for the new corporate name to take effect. Upon approval, the Company will begin trading on the TSX Venture Exchange as NewOrigin Gold Corp. and under the new ticker symbol “NEWO”. The Company will also launch a new website www.neworigingold.com along with an enhanced social media presence on Twitter (@NewOriginGold1) and LinkedIn.

Changes to Stock Option Plan

Shareholders also voted in favour of changing the Company’s stock option plan from a 20% fixed stock option plan to a 10% rolling stock option plan. Under a rolling stock option plan, the maximum number of options granted would be 10% of the Corporation’s issued and outstanding Common Shares. As of today’s date, the maximum number of potential options to be granted by the Corporation under a rolling stock option plan would be 5,169,168. Currently a total of 3,810,000 stock options have been granted under the 10% rolling stock option plan.

Approval of Stock Option Grant

Shareholders have voted in favor of the Company’s stock option grant previously announced on January 20, 2021.
