TriAusMin was incorporated in October 1993 as a subsidiary of Tri Origin Exploration Ltd. to hold and manage Tri Origin's Australian exploration assets.  TriAusMin enjoyed early success with the discovery of the Lewis Ponds poly-metallic deposit located near Orange, New South Wales and subsequently acquired additional exploration assets including an economic interest in tenements in the Woodlawn Mining District where approximately 14 million tonnes of base metal rich ore was mined from 1978 to 1998, the Calarie gold mining lease, adjacent to the township of Forbes, and the Overflow prospect, a land holding in the Cobar mineral field in New South Wales.

Capital Structure

TriAusMin's shares are listed on the ASX under the symbol TRO and on the TSX under the symbol TOR.  As at February 23, 2012, TriAusMin had 201 million shares outstanding and approximately 75% of these shares are held on the Canadian share register.  The remaining shares are held on the Australian share register.

Board of Directors

TriAusMin currently has five board members, three of whom are considered independent.  Two of these directors also sit on the board of Tri Origin:

Wayne Taylor, Managing Director & CEO

Mr. Taylor was appointed to the Board in May 2011 and is a mining engineer with over 20 years experience in the resources sector.  Industry experience has included; project development from exploration and feasibility through to production; senior operational management in a variety of open- pit and underground mining operations in Australia and internationally; commercial and corporate management of privately owned mining companies and; mining project/asset due diligence and acquisition. In the six years prior to joining TriAusMin, Mr. Taylor spent considerable time assessing global mining and development projects that lead to the negotiation and execution of commercial transactions covering joint ventures, asset purchases, the provision of debt and equity funding, off-take agreements and the offer of management services. He has worked for such companies as Glencore, WMC Resources, BHP and JCI.  Mr. Taylor holds a B.E. Mining (Hons) from the University of New South Wales and a MBA from the University of New England. He is a member of the AusIMM.

William F. Killinger, Chairman, AM

Mr. Killinger was first appointed to the Board in 1996 and was appointed Chairman in 2009.  He is a retired civil engineer with 40 years experience in engineering construction associated with infrastructure, including mineral, industrial and public infrastructure projects in Africa, the Middle East, South East Asia, the United States and South America.  Mr. Killinger has served as Director of a number of mining and construction companies in Australia and the US.  His experience includes a six year term as Managing Director of Minproc Engineers Limited, one of the world’s leading engineering and construction companies in the mining and mineral treatment industry. 
Mr. Killinger was made a Member of the Order of Australia in January 2009 for service to railway engineering through the construction and development of passenger and freight transport systems in Australia and internationally, to professional organizations, to the mining sector and to the community.

Robert I. Valliant, Director

Dr. Valliant was appointed to the Board in 1993 and is a qualified geologist.  He co-founded Tri Origin Exploration in 1989 and completed its listing on the TSX in 1991.  He also founded and subsequently completed TriAusMin Limited's Initial Public Offering and listings on the Australian Stock Exchange in 2004 and Toronto Stock Exchange in 2010.   Dr. Valliant has more than 30 years experience in base and precious metals exploration, discovery and development.  Prior to founding Tri Origin, he was VP Exploration for LAC Minerals Ltd a leading North American gold producer until its takeover by Barrick Gold Corporation.  Dr. Valliant's responsibility for exploration activities at LAC included the participation in significant discoveries in the Bousquet and Doyon area which became the largest gold producing district in Quebec.  Dr. Valliant was also responsible for the management and direction of all exploration work conducted by LAC resulting in the discovery of the Page-Williams mine at Hemlo, one of Canada’s largest gold deposits.  He initiated exploration activities for LAC in Australia and western United States, leading to discovery of gold deposits at Ortiz, New Mexico and the Rosebud gold deposit in Nevada.  With Tri Origin, Dr. Valliant was co-discoverer (with the late Dennis Sheehan) of the Lewis Ponds gold and base metal deposit in New South Wales, Australia.  Dr. Valliant is a Fellow of the Geological Association of Canada, a member of the Australian Institute of Geoscientists, and the Society of Economic Geologists and the Canadian Institute of Mining and Metallurgy.  Dr. Valliant is currently an executive director of Tri Origin Exploration Ltd, a non-executive director of Midland Exploration Inc., and a director of the Prospectors and Developers Association of Canada.

Alan J.E. Snowden, Director

Mr. Snowden was appointed to the Board in 2007.  He is a professional Corporate Director with more than 30 years experience in Canadian and International financial markets and 20 years experience as an independent Board Director.  He is former Senior VP of Corporate Planning Associates, VP & Director for Western Canada of BMO Nesbitt Burns Inc. and Executive Director of Odlum Brown Limited.  Mr. Snowden is a member of the Canadian Institute of Corporate Directors and holds the ICD.D designation.  He is a graduate of the Senior Management Programme from the Ivey Business School at the University of Western Ontario.  Mr. Snowden is also a non-executive director of Tri Origin Exploration Limited.  

James W. Gill, Director
 
Dr. Gill was appointed to the Board in 2010 and has been directly involved in the mining business for over 40 years.  His experience ranges from exploration, mine development and operations, acquisitions to project financing.  Dr. Gill founded Aur Resources Inc. in 1981, which grew from an exploration company into a significant, profitable producing copper mining company under his leadership as its President and Chief Executive Officer for 26 years until August 2007 when Aur was taken over by Teck Resources for C$4.1 billion.  He earned B.Sc and M.Sc degrees from McGill University and a Ph.D. degree in economic geology from Carleton University.
